Bylaws and Descriptions of Duties:
Section 1: Names and Offices
The name of the organization shall be the Fisher's Landing Parent Teacher Organization (hereafter referred to as FLPTO) with offices located at Fisher's Landing Elementary, 3800 SE Hiddenbrook Drive, Vancouver WA 98683.
Section 2: Purpose
The purpose of the organization is to further the efforts of the school in providing quality education for all students. The FLPTO will sponsor various events and activities which enhance the educational environment and support school goals. The organization will also serve in a liaison capacity maximizing communication between parents, staff, and administration at Fisher's Landing Elementary.
Section 3: Membership
The parents, guardians, and staff of students enrolled at Fisher's Landing Elementary are automatically regular members of the FLPTO with voting privileges.
Residents of the Evergreen Public Schools living within the enrollment boundaries of Fisher’s Landing Elementary who do not have children attending Fisher's Landing Elementary are encouraged to support the activities of their neighborhood school. Such persons may be designated as "Special Members" without voting privileges.
A close working relationship occurs between parent volunteers and the teachers, administrators, staff, and students at Fisher's Landing. Parent volunteers need to use the utmost discretion in discussing school related matters of a sensitive nature.
No member dues or fees shall be levied or collected by the FLPTO.
Membership shall be afforded without regard to race, religion, naonal origin, sex, age, mental or physical handicap.
Section 4: Basic Policies
The following are basic policies of the FLPTO:
1. FLPTO shall be non-commercial, non-sectarian and non-parsan.
2. The name FLPTO or the names of any members in their official capacities
shall not be used in any connection with a commercial concern or with any partisan interest or for any purpose not appropriately related to promotion of the objectives of the FLPTO.
3. FLPTO may cooperate with other organizations and agencies organized and conducted for purposes similar to that of the FLPTO.
4. FLPTO property, including but not limited to the Popcorn Machine, Memory Book software and Printer, may only be used for PTO sponsored activities.
Section 5: The Executive Board
The elected officers of the organization may include, but is not limited to, the following: President, Secretary, Treasurer, two Vice Presidents of Fundraising, Vice President of Communications, Two Vice Presidents of Volunteer Development, Vice President of Faculty Relations, Six Members at Large, and the Principal of Fisher's Landing Elementary. The term of the Executive Board shall commence the day following the last day of school of the year in which they are elected and continue through the last day of school of the following year.
The Executive Board may:
1. Hold meetings at such times and places as it deems proper.
2. Appoint commitees on particular subjects as well as the chairperson.
3. May remove with cause any chairperson with a simple majority of the Executive Board.
4. Audit bills and disburse the funds of the FLPTO.
5. Print and circulate documents and publish articles.
6. Carry on correspondence and communicate with other associations.
7. Employ agents.
8. Devise and carry into execution such other measures as it deems proper and expedient to promote the goals and objectives of the FLPTO and to best protect the interest and welfare of the FLPTO.
The group known as the Executive Board will be comprised of the elected officers described below, along with the Principal of Fisher's Landing Elementary School.
The Principal of Fisher's Landing Elementary shall serve in an advisory capacity with voting privileges. All FLPTO written communication must be submitted to the Principal for approval prior to distribution.
At the discretion of the Executive Board, Standing Committees with certain and specific functions may be created with the appointed director of such committees expected to attend meetings as necessary. Such directors will not have voting privileges at Executive Board meetings and shall automatically terminate their positions at the end of the school year.
An Executive Board member, with the exception of the Principal, may be removed from office by a 2/3 vote of the General Membership present at a regularly scheduled membership meeting or at a meeting called for such purpose.
Vacancies in any office arising from any cause may be filled by the Executive Board at any regular or special General Membership meeting by simple majority vote of members present.
A close working relationship occurs between FLPTO Executive Board members, teachers, administrators, staff, and students at Fisher's Landing Elementary. Executive Board members may overhear or be party to privileged communication which is confidential and not to be divulged. An infraction of this policy could result in the immediate dismissal of an Executive Board member, with the exception of the principal.
The dues of the Executive Board will include, but are not limited to:
President
Vice President of Fundraising
Vice President of Communications
Vice President of Faculty Relations
Secretary
Treasurer
Members at Large (maximum of six positions)
1. Shall give support and assistance to the President and Executive Board.
2. Shall attend all Executive Board Meetings and be a voting member of the Executive Board.
3. Shall fulfill all functions delegated to her/him by the President and/or Executive Board.
Section 6: Nomination of Officers/Executive Board Elections
ELECTIONS:
Annual elections shall be held each school year before the end of May to elect the officers of the Executive Board for the following school year. The various offices of Executive Board are identified in Section V of the by-laws. All parents whose children are currently enrolled in the school, and all Fisher's Landing teachers are considered members of Fisher's Landing PTO and are eligible to vote.
ELECTION COMMITTEE:
The President of the PTO and the Principal shall appoint an Election Committee for the purpose of facilitating the elections process. The Election Committee will consist of the Principal, (1) FL Staff, and (1) PTO Board Member who is not running for re-election. No officer candidate shall be appointed to the Election Committee.
CANDIDATES:
All parents of children who are currently enrolled at Fisher's Landing Elementary School are eligible for nomination for any position on the PTO Board except for the positions of President and Treasurer. This is due to the nature and significance of these positions. Candidates for these two positions are required to have had at least one-year experience on the Fisher's Landing PTO Board, or other relevant experience, prior to the election.
If there are no eligible candidates for the President and/or Treasurer positions who have the required one-year of experience, other candidates may be nominated. Acceptance of candidates without the required experience is at the Principal’s discretion.
ELECTION PROCESS:
The election committee shall prepare a flier outlining the various offices and a short description of the functions of those offices. The flyers shall also include other pertinent information regarding the elections. The flyers are made available electronically, (via the bulletin), to the membership during the first week of May. Nominations for the offices will be opened to all Fisher's Landing PTO members. Nomination forms will be made available to those who are interested in running for the offices of the Fisher's Landing PTO. Interested members must contact the school office for a nomination form. The nomination form will request certain information pertinent to the office of the Fisher’s Landing PTO and a brief account of the nominee's experience serving in any capacity in a voluntary organization. The purpose of which is to introduce the nominee to the voting membership. All completed nomination forms must be submitted to the school office ten school days before the Election Day.
VOTING:
Voting is by secret ballot. Only the names of those persons who have signified their consent to serve if elected shall be placed on the ballot. The new board members shall attend the June Executive Board Meeting. In the event a candidate is not elected to any of the board positions, the current Executive Board may appoint a FLPTO member to vacant positions by a two-thirds vote. Election ballots will be prepared by the Election Committee then sent to all families currently enrolled at Fisher's Landing Elementary School. Each family and every teacher will receive a ballot. The voting period shall last seven days. Ballots will be accepted until school ends on the last election day and counted by the election committee before 5:30pm. The current executive board will review open positions and ask nominees not voted in to fill those roles. Communication to the community should be completed before 4pm the day after the election.
Section 7: Meetings
The Executive Board shall meet at least once a month at scheduled times between the months of September and June, or at the call of the President, or when requested by a majority of the Executive Board. Meetings shall be announced in advance. A quorum at Executive Board meetings shall consist of a simple majority of the Executive Board. Decisions will be made of the basis of a majority vote of those present. General Membership meetings shall be held a minimum of four meetings during the school year, or at the call of the Executive Board, or upon petition of twenty percent of the eligible membership. The Annual Meeting shall be held in May. These meetings may be held in conjunction with other FLPTO sponsored meetings or events and may coincide with Executive Board meetings. Notice of General Membership meetings shall be made at least one week in advance by way of the school bulletin and the PTO link on the Fisher’s Landing Web page. Those members present shall constitute a quorum with decisions made on the basis of a majority vote.
Section 8: Fiscal Policy
All checks and drafts against FLPTO funds must be signed by two of three designated signers. Designated signers will be the President, Treasurer, and one other Executive Board Member to be determined by the Executive Board Members. Signers should not be related. Appropriate documentation shall be entered into the Treasurer's files explaining the purpose for which the funds will be used and identifying the authorizing party. Disbursement of funds will only be made with proper documentation, original receipts. The Executive Board shall review and approve an annual work plan and the associated FLPTO budget for the current fiscal year and submit it to the General Membership for adoption in October. Expenditures that exceed 10 percent of the budget amount must be submitted for Executive Board approval.
Additional expenditures not included in the approved annual budget shall be authorized as follows:
The FLPTO shall function as a non-profit organization under the requirements of Section 501 (c)(3) of the Internal Revenue Code. No part of the net earnings of FLPTO shall inure to the benefits of its members, officers, or other private pares inconsistent with its tax-exempt status. To be tax-exempt under section 501 (c)(3) of the Internal Revenue Code, an organization must be organized and operated exclusively for exempt purposes set forth in Section 501(c)(3), and none of its earnings may inure to any private shareholder or individual. In addition, it may not be an action organization, i.e., it may not attempt to influence legislation as a substantial part of its activities and it may not participate in any campaign activity for or against political candidates.
Section 10: Indemnification
The Evergreen School District shall indemnify, protect, and hold harmless any officers, directors, or agents of the FLPTO from any threatened or actual suit or proceeding as long as FLPTO officers were acting in good faith and in direct connection with a school related activity. A school related activity is any activity which is conducted on or off the premises of Fisher’s Landing Elementary with the knowledge, participation and support of Fisher’s Landing administrators and staff for the benefit of the Fisher's Landing Student Body.
Section 11: Amendments
Proposed amendments to Fisher's Landing Elementary By-Laws shall be submitted to a vote of the General Membership at a regular meeting and shall be affirmed by a simple majority of those present.
Section 12: Standing Committees
Committees may be formed for information gathering and for specific FLPTO projects or activities. An Executive Board member shall monitor the activities of these committees. All plans shall be presented to the Board for approval. No Fundraising or Solicitation of funds for any activity shall commence without prior approval of the Executive Board. A formal vote shall be reflected in the official record. These include but are not limited to:

President
- Shall serve as the presiding officer with overall responsibility for providing the necessary coordinated leadership to ensure the attainment of all the objectives of the FLPTO.
- Shall function as the primary catalyst to encourage involvement by parents in the organization and its general activities.
- Shall conduct all Executive Board and General Membership meetings.
- Shall function as the primary liaison with the principal, teachers and staff on matters related to the FLPTO.
- May call Executive Board and General Membership meetings at her/his discretion.
- Shall monitor all activities of the FLPTO that are conducted in the school.
- Shall along with the secretary, keep a copy of all legal documents pertinent to the FLPTO.
- Shall be one of the designated signers on all checks and drafts against the FLPTO Funds.
- Shall present for approval the annual work plan and associated budget at the October General Membership meeting. The proposed annual work plan will consist of proposals for the upcoming year for events, activities, and fundraising projects.
- Shall be familiar with IRS Regulaons for Non-Profit Tax-Exempt Organizaons and ensure such regulaons are being followed.
- Shall along with the Treasurer balance bank statements monthly.
- Shall along with the Treasurer insure the mely filing of all tax forms in accordance with IRS deadlines.
- Shall along with the treasurer ensure Washington State Permit for fundraising is paid annually.
Vice President of Fundraising
- May assume the responsibilities of the President if the President is absent or unable to carry out dues.
- Shall generally have responsibility for all FLPTO activities which generate fundraising for the school and its students.
- Shall work closely with President, Principal, and staff in preparing and conducting fundraising events which are directed toward specific FLPTO objectives and goals.
- Shall take responsibility for planning and actual operation of the Fundraising activity.
- Shall contract only with a Fundraising Company that is authorized to fundraise in the state of Washington.
- Shall report to the Execuve Board current Fundraising projects, submit proposed activities and projected expenditures to the Executive Board for
approval. - Shall fulfill all functions delegated to her/him by the President and/or the Executive Board.
Vice President of Communications
- May assume the responsibilities of the President if the Vice President of Fundraising is absent or unable to do so.
- Shall publicize all activities and expenditures of FLPTO by means of flyers and monthly newsletter.
- Shall serve as primary public information source to news media and the general public.
- Shall maintain a timely FLPTO bulletin board and PTO Web page.
- Shall report to the Executive Board monthly on current communication activities, submit proposed activities and projected expenditures to the Executive Board for approval.
- May designate a chairperson for specific communication projects or activities but will continue to monitor each activity. This Chairperson must have board approval.
- Shall fulfill all functions delegated to her/him by the President and/or the Executive Board.
- May assume the responsibilities of the President if the Vice President of Communications is absent or unable to do so.
- Shall have responsibility for the recruitment and management of volunteer personnel supporting the school.
- Shall create and maintain effective lists of volunteers' names, addresses and phone numbers.
- Shall with the support and assistance of the school staff, coordinate an ongoing volunteer orientaon and training program.
- May designate a chairperson for specific volunteer development projects of acvies but will connue to monitor each acvity. This Chairperson must have board approval.
- Shall update the Volunteer sign-up sheet as needed and give all parents, including all new parents, the opportunity to participate in FLPTO activities.
- Shall fulfill all functions delegated to her/him by the President and/or Executive Board.
Vice President of Faculty Relations
- Shall serve as the primary liaison to the faculty and staff at Fisher's Landing Elementary.
- Shall be a Fisher's Landing Elementary teacher or staff member who is willing to participate on a voluntary basis without compensation.
- Shall be elected by the faculty of Fisher's Landing Elementary prior to the Executive Board's election at the May annual meeting.
- Shall be responsible for presenting FLPTO matters requiring a faculty consensus to the Fisher's Landing Elementary staff. Shall be responsible for informing the Executive Board of the majority opinion of the faculty, as well as other response to the matter being voted upon.
- Shall have one vote which reflects the majority opinion of the entire faculty.
- Shall fulfill all functions delegated to her/him by the President and/or Executive Board.
- All requests for funds for projects and or activities must be evaluated and approved by the principal before submission to the PTO Board for its consideration. Annual Classroom project money is exempt.
Secretary
- Shall maintain a file and be responsible for all documents, records, and communications of the FLPTO.
- Shall maintain written record of all meetings of the FLPTO including, but not limited to, those persons in attendance, motions made and voted thereon, and other business conducted and decided upon at such meetings.
- Shall provide minutes for prior meetings to all members for approval. Approved copies shall be distributed to interested parents and posted on the internet by the VP of Communications.
- Shall keep a permanent record of these minutes in a binder for historical purposes.
- Shall along with the President keep a copy of all legal documents pertinent to the FLPTO.
- Shall fulfill all functions delegated to her/him by the president and/or Executive Board.
Treasurer
- Shall be responsible for transacting and recording the financial affairs of the FLPTO.
- Shall maintain accurate and timely accounting of all monies received and disbursed by the FLPTO.
- Shall deposit all funds into the accounts established pursuant to the direction of the Executive Board and shall be legally responsible for proper maintenance of such accounts.
- Shall report at all meetings on the financial status of the FLPTO including funds on hand, outstanding obligations, and all disbursements made during the current fiscal year, ending August 31st.
- Shall be one of the designated signers on all checks and drasft against FLPTO funds.
- Shall keep permanent record of all financial activity and fiscal records for seven (7) years. These permanent records must be kept at school in a secure location. Tax returns should be kept in a binder and made public upon request.
- Shall comply with all State, Federal, and Evergreen School District guidelines that pertain to FLPTO as a non-profit organization.
- Shall submit the necessary documentation and be present, along with the President, during any and all audits pertaining to the financial activity of the
FLPTO. - Shall ensure that all monies generated from FLPTO fundraising activities be double counted and verified by two officers of the Executive Board and deposited within twenty-four hours of the event or the next banking day. Until the me of deposit, the monies shall be secured in a Locked Bank Bag with the President or Treasurer securing these funds with another Executive Board Member holding the key. No Executive Board Member shall hold both the key and the secured funds. All deposits and withdrawals shall be verified via monthly bank statements with the President each statement period.
- Shall fulfill all functions delegated to her/him by the President and/or Executive Board.
- Shall be responsible for filing of federal income tax returns for the fiscal year of her/his term of office in accordance with IRS deadlines.
Members at Large (maximum of six positions)
1. Shall give support and assistance to the President and Executive Board.

- All requests for funds which are not included in the approved annual budget shall be presented to the Executive Board on the FLPTO "Request for Funds" form. Each request will be reviewed by the Executive Board and approved or denied as outlined in #2 below. All approved expenditures will be presented at the next General Meeting as a matter of information.
- All funds requested that were not approved budget items will be dealt with as follows:
- $0-$49 Approval by three (3) Execuve Board Members b. $50-$499 Approval by President, Treasurer, and one other Executive Board Member.
- $500 & over Approval of two-thirds majority vote of the Executive Board and General Membership in attendance.
- A minimum of $5,000 shall be retained in a carry-over fund at the end of the school year for use by the incoming Executive Board.
The FLPTO shall function as a non-profit organization under the requirements of Section 501 (c)(3) of the Internal Revenue Code. No part of the net earnings of FLPTO shall inure to the benefits of its members, officers, or other private pares inconsistent with its tax-exempt status. To be tax-exempt under section 501 (c)(3) of the Internal Revenue Code, an organization must be organized and operated exclusively for exempt purposes set forth in Section 501(c)(3), and none of its earnings may inure to any private shareholder or individual. In addition, it may not be an action organization, i.e., it may not attempt to influence legislation as a substantial part of its activities and it may not participate in any campaign activity for or against political candidates.
Section 10: Indemnification
The Evergreen School District shall indemnify, protect, and hold harmless any officers, directors, or agents of the FLPTO from any threatened or actual suit or proceeding as long as FLPTO officers were acting in good faith and in direct connection with a school related activity. A school related activity is any activity which is conducted on or off the premises of Fisher’s Landing Elementary with the knowledge, participation and support of Fisher’s Landing administrators and staff for the benefit of the Fisher's Landing Student Body.
Section 11: Amendments
Proposed amendments to Fisher's Landing Elementary By-Laws shall be submitted to a vote of the General Membership at a regular meeting and shall be affirmed by a simple majority of those present.
Section 12: Standing Committees
Committees may be formed for information gathering and for specific FLPTO projects or activities. An Executive Board member shall monitor the activities of these committees. All plans shall be presented to the Board for approval. No Fundraising or Solicitation of funds for any activity shall commence without prior approval of the Executive Board. A formal vote shall be reflected in the official record. These include but are not limited to:
Restaurant Fundraisers:
- Restaurant Fundraisers should never interfere with the day-to-day efforts of the school's educational efforts.
- A restaurant shall, without prior board approval, only be utilized once during the school year.
- The school's Reader Board cannot post specific restaurant information. However, it may post a date, time, and title: "Restaurant Fundraiser Night".
